Terms and Conditions	End-User License Agreement (EULA) of Call2Unlock This End-User License Agreement ("EULA") is a legal agreement between you and Cordial Telecom Inc. This EULA agreement governs the download and installation of Call2Unlock ("Software") directly from Cordial Telecom Inc. Please read this EULA agreement carefully before completing the download process and using the Call2Unlock software. It provides the permission to use the Call2Unlock software and contains warranty information and liability disclaimers. 1. Call2Unlock is the software composed by a collection of scripts, web tools and integration tools created by Cordial Telecom Inc. It runs on the top of other software platforms considered Open Source. The Open Source tools licensing is excluded of the scope of this EULA and Call2Unlock is providing the source files of all of them in the ISO with their respective original licenses provided by each Open Source Tool. 2. If you register for a free trial of the Call2Unlock software, this EULA agreement will also govern that trial. By clicking "accept" or installing and/or using the Call2Unlock software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement. 3. If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement. 4. This EULA agreement shall apply only to the Software provided by Cordial Telecom Inc. herewith regardless of whether other software is referred to or described herein. The terms also apply to any Call2Unlock. updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply. License Grant 5. Cordial Telecom Inc. hereby grants you a personal, non-transferable, non-exclusive license to use the Call2Unlock software on your company in accordance with the terms of this EULA agreement. You are permitted to install the Call2Unlock software under your control. You are responsible for ensuring your device meets the minimum requirements of the Call2Unlock software and the standard security measures to protect the machine where the software is installed, from internal and external threats, unless you have a complementary support and consulting agreement with Cordial Telecom Inc. 6. The trial period of Call2unlock is valid for 30 days. That are counted from the installation. If you want to continue using the software you should contact Cordial Telecom Inc. (sales@call2unlock.com) to get a valid license, otherwise you should remove the software completely from your infrastructure. Cordial Telecom Inc. is not responsible for the loss of any information stored in the system when the trial period is over. 7. You are not permitted to: - Reproduce, copy, distribute, resell or otherwise use of Call2Unlock for any commercial purpose. - Allow any third party to use Call2Unlock on behalf of or for the benefit of any third party. - Use the Call2Unlock in any way which breaches any applicable local, national or international law. - Apply any kind of Reverse Engineering to the software, or try to manipulate it to keep it working even when the trial period is over. - Use the Software for any purpose that Cordial Telecom Inc. considers is a breach of this EULA agreement Intellectual Property and Ownership 8. Cordial Telecom Inc. shall at all times retain ownership of Call2Unlock (The definition and scope of the Software is detailed in the paragraph Number 1), as originally downloaded by you and all subsequent downloads of the Call2Unlock by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made there to) are and shall remain the property of Cordial Telecom Inc. 9. Cordial Telecom Inc. reserves the right to grant licenses to use the Software to third parties. Termination 10. This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Cordial Telecom Inc. It will also terminate immediately if you fail to comply with any term of this EULA agreement. Upon such termination, the licenses granted by this EULA agreement will immediately terminate and you agree to remove any instances of the Software. The provisions that by their nature continue and will survive any termination of this EULA agreement. Governing Law 11. This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of the United States of America
